1. Agreement to Terms

These Terms of Service ("Terms") form a legal agreement between you ("you," "your," or "User") and YOITY LLC ("Yoity," "we," "us," or "our") governing your access to and use of yoity.co, our digital products, and any related services (collectively, the "Services").

By using the Services, you agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old to use the Services. If you are between 13 and 17, you may use the Services only with the involvement and consent of a parent or legal guardian. The Services are not intended for children under 13.

3. Accounts

Some features of the Services may require you to create an account. You agree to provide accurate, current information, keep your password secure, and notify us promptly of any unauthorized use. You are responsible for all activity under your account.

4. The Services

4.1 Content and articles

Yoity publishes articles, guides, and other personal development content. This content is provided for informational and educational purposes only. It is not medical, mental health, legal, financial, or professional advice and should not be relied on as a substitute for advice from a licensed professional.

4.2 Digital products

Yoity offers digital products, including free and paid e-books, guides, workbooks, and similar items (each a "Digital Product"). When you purchase a paid Digital Product, you receive a personal, non-transferable, non-exclusive license to access and use it for your personal, non-commercial use.

You may not resell, redistribute, modify, or create derivative works from any Digital Product without our prior written permission.

4.3 Pro Bridge

Pro Bridge is a feature that introduces you to independent coaches, practitioners, and other professionals ("Professionals"). Yoity provides the matching and connection service; we do not provide the underlying coaching, counseling, or professional services and do not employ the Professionals.

You acknowledge and agree that:

• Any engagement, contract, or transaction between you and a Professional is solely between you and that Professional.

• Yoity does not guarantee the availability, qualifications, certifications, insurance, background, outcomes, or conduct of any Professional, and you are responsible for conducting your own due diligence.

• Yoity is not a licensed healthcare, mental health, or therapy provider. Pro Bridge is not a substitute for diagnosis or treatment of any medical or psychological condition.

• Yoity is not liable for the acts, omissions, advice, or services of any Professional. Any dispute arising from services you receive from a Professional must be resolved directly with that Professional.

5. Acceptable Use

You agree not to:

• Use the Services in any way that violates applicable law or regulation.

• Copy, reproduce, scrape, or redistribute Yoity content or Digital Products except as expressly permitted.

• Attempt to reverse engineer, probe, hack, overload, or interfere with the Services or their security.

• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.

• Upload or transmit viruses, malware, or any harmful code.

• Harass, threaten, or harm other users, Professionals, or Yoity staff.

• Use the Services to send spam or unauthorized commercial communications.

6. Intellectual Property

All content on yoity.co — including text, graphics, logos, images, audio, video, downloads, and software — is owned by Yoity or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Yoity grants you a limited, revocable, non-transferable license to access and use the Services for personal, non-commercial purposes. No other rights are granted.

Feedback you send us about the Services may be used by Yoity without restriction or compensation.

7. Payments, Taxes, and Refunds

Paid Digital Products are sold through Stripe or another designated payment processor. By purchasing, you authorize us (and our processor) to charge your selected payment method for the total amount, including any applicable taxes.

Applicable sales taxes are calculated and displayed at checkout based on your location. You are responsible for any taxes not collected at checkout.

Refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference. 

8. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, tools, or services (for example, Stripe, Squarespace, email platforms, or social networks). Yoity does not control these third parties and is not responsible for their content, practices, or policies. Your use of third-party services is subject to their terms.

9. Disclaimers

The Services and all Yoity content and Digital Products are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

Yoity makes no guarantee of specific outcomes or results from using the Services. Personal development progress depends on many factors outside of our control.

Nothing in the Services constitutes medical, mental health, legal, financial, or other professional advice. Always consult a qualified professional for advice specific to your situation.

10. Limitation of Liability

To the maximum extent permitted by law, Yoity, its owners, officers, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising from or related to your use of the Services.

To the maximum extent permitted by law, Yoity’s total aggregate liability to you for any claim arising out of or relating to the Services is limited to the greater of (a) the amount you paid Yoity in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Yoity and its owners, officers, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at our discretion if you violate these Terms or for any other reason. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [Insert state] (e.g., Texas), without regard to its conflict-of-law rules. Before filing any formal claim, you agree to first contact us at yoityofficial@gmail.com and try to resolve the dispute informally for at least 30 days.

Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may bring an individual action in small-claims court. You and Yoity each waive the right to a jury trial and to participate in a class action.

If any part of this section is found unenforceable, the rest will remain in effect, and any claim not subject to arbitration will be brought exclusively in the state or federal courts located in [Insert county and state].

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, when appropriate, notify you by email or through a notice on yoity.co. Your continued use of the Services after changes take effect means you accept the updated Terms.

These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, are the entire agreement between you and Yoity regarding the Services. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our written consent; we may assign them freely.
